Racer X Fabrication Authorized Distributor Policy

This policy is effective as of January 1, 2026

This Authorized Distributor Policy (“Policy”) outlines the terms and conditions under which Racer X Fabrication (“Racer X,” “we,” “our”) authorizes approved distributors (“Authorized Distributor,” “Distributor,” “you”) to purchase and resell Racer X Fabrication products.

Authorization is granted at the sole discretion of Racer X Fabrication and may be modified or revoked at any time for non-compliance.

1. Authorization to Sell

Authorized Distributors are permitted to purchase and resell genuine Racer X Fabrication products solely through approved sales channels owned and operated by the Authorized Distributor.

Resale through unauthorized third-party sellers, marketplaces, or sublicensing arrangements is prohibited without prior written approval from Racer X Fabrication.

Authorization applies only to products purchased directly from Racer X Fabrication or an approved source.

2. Pricing & MAP Compliance

All Authorized Distributors must comply with Racer X Fabrication’s Minimum Advertised Price (MAP) Policy, which is provided separately and incorporated by reference into this Policy.

Authorized Distributor pricing is provided via an official Distributor Price Sheet, which may be updated at Racer X Fabrication’s discretion. Distributor pricing applies exclusively to Authorized Distributors and is not available to retail customers.

Distributor pricing is confidential and may not be shared, published, or disclosed without prior written consent from Racer X Fabrication.

Failure to comply with the MAP Policy or misuse of Distributor pricing may result in corrective action, including written warnings, suspension of purchasing privileges, or termination of Authorized Distributor status.

3. Ordering & Minimum Requirements

Inventory Orders
- Distributor pricing is provided in the official distributor pricing sheet.
- Free shipping is offered on inventory orders over $500, where applicable.
Dropship Orders
- Dropshipping is available only to approved Authorized Distributors and may be limited to approved SKUs.
- All orders are subject to product availability.
Opening Orders
- Racer X Fabrication may require a minimum opening inventory order at its discretion.

4. Dropshipping Terms

For Authorized Distributors approved for dropshipping:

Products will ship directly from Racer X Fabrication to the end customer.
Order pricing and distributor cost information will not be displayed on packing slips or included in shipments.
The Authorized Distributor remains the seller of record and is responsible for:
- Customer service and communication
- Order accuracy and fulfillment details
- Managing returns and exchanges in accordance with Racer X Fabrication policies
Racer X Fabrication reserves the right to:
- Restrict dropshipping to specific products
- Establish operational guidelines and fulfillment requirements
- Include Racer X Fabrication branding on packing slips or shipment documentation

5. Payment Terms

New Authorized Distributors are required to prepay orders using approved payment methods.
Net payment terms may be extended at Racer X Fabrication’s discretion based on credit approval and order history.
All pricing excludes applicable taxes unless a valid resale certificate is on file.

6. Shipping & Fulfillment

Shipping methods and carriers are selected by Racer X Fabrication unless otherwise agreed in writing.
Tracking information is provided for all shipments.
Free shipping promotions apply only to inventory orders and do not apply to dropship orders unless explicitly stated.

7. Returns & Warranty

All returns and warranty claims are governed by Racer X Fabrication’s published return and warranty policies.
Authorized Distributors may not offer warranties, guarantees, or representations beyond those provided by Racer X Fabrication.
Unauthorized or non-compliant returns may be refused.

8. Branding, Marketing & Product Representation

Authorized Distributors may use Racer X Fabrication trademarks, logos, product images, and descriptions solely for the purpose of marketing approved Racer X Fabrication products.

Authorized Distributors may not:
- Alter product names, branding, or technical specifications
- Misrepresent product applications or compatibility
- Use Racer X Fabrication branding in a misleading or unauthorized manner

9. Retail Promotions & Sales Exclusions

All publicly advertised promotions, discounts, sales events, coupon codes, and free shipping offers offered by Racer X Fabrication are intended for retail customers only.

Unless explicitly stated in writing:
- Retail promotions do not apply to Authorized Distributors
- Promotional free shipping offers do not apply to distributor inventory orders or dropship orders
- Distributor pricing, terms, and shipping policies are governed exclusively by the Authorized Distributor pricing sheet and this Policy
- Racer X Fabrication reserves the right to modify or exclude Authorized Distributors from any retail promotion at its sole discretion.

10. Compliance, Audits & Termination

Racer X Fabrication reserves the right to:

Review Authorized Distributor compliance with this Policy and the MAP Policy
Suspend or terminate authorization for violations, including but not limited to MAP violations, misrepresentation, or misuse of dropshipping privileges

Either party may terminate the Authorized Distributor relationship at any time with written notice.

11. Policy Modifications

Racer X Fabrication reserves the right to modify this Policy at any time. Continued purchase, resale, or advertisement of Racer X Fabrication products constitutes acceptance of the current Authorized Distributor and MAP Policies.
